Shareholders back board after blasting executives over failed takeover talks with Microsoft

SAN JOSE (CALIFORNIA) - YAHOO executives were resoundingly re-elected last Friday after being berated by shareholders over failed takeover talks with Microsoft.
Yahoo chief executive Jerry Yang got 85.4 per cent of the votes cast by shareholders while board chairman Roy Bostock got the support of 79.5 per cent of the shareholders. The weakest support was shown for incumbent Arthur Kern, who won 77.9 per cent of the votes.

‘It does look like they have support of the shareholders again but at the end of the day, they have to focus on the company goals and execute,’ said analyst Rob Enderle of Enderle Group in Silicon Valley.

The votes were tallied after Mr Yang and Mr Bostock, two key players in drama-filled negotiations with Microsoft, faced approximately 150 shareholders in a hotel ballroom in downtown San Jose, California.

Voices of support and criticism rose from the gathering, with one shareholder calling for Mr Bostock to resign and another praising Yahoo for saving the firm from ‘over-the-hill green-tentacled octopus’ Microsoft.

‘I think you overpaid on compensation; I think you overplayed your hand with Microsoft, and I think you overstayed your welcome after last year’s vote and should do the honourable thing and step down from this board,’ stockholder Eric Jackson of Ironfire Capital said.

Mr Bostock responded with a ‘No’. He added: ‘The board controlled the process of dealing with Microsoft right from the beginning.

‘We called the shots and were deeply involved in every step.’

Mr Bostock said the Yahoo board never resisted Microsoft’s proposal to buy Yahoo and that it was the US software giant that capriciously walked away from negotiations.

Microsoft walked away from negotiations on May 3 after Yahoo rejected an offer it raised from US$31 to US$33 per share, which amounted to US$47.5 billion (S$65 billion).

‘Yahoo is attempting to rewrite history yet again with statements that are not supported by the facts,’ Microsoft said of the Yahoo presentation.

Yahoo executives promised that the struggling Internet pioneer remained on course throughout the Microsoft drama and is poised for more profitable days ahead.

‘We’ve been rewiring the company,’ Mr Yang told stockholders that had been plied with coffee, pastries, juice and fresh fruit. ‘This is a very global business and Yahoo is very well-positioned.’

Yahoo avoided an ugly showdown with corporate raider Carl Icahn, whose campaign to overthrow the board was ended by a truce that gains him three seats.

Singapore seen as global hub for luxury watches

Market unaffected by rising prices and global slowdown, says industry chief

THE boss of Sincere Watch believes Singapore can turn itself into a prime place where the world’s rich can buy fancy watches.
Mr Tay Liam Wee, who has just taken the helm at the Singapore Clock and Watch Trade Association (SCWTA), said Singapore is already Asia’s third-largest importer of watches and the world’s fourth-fastest growing market for Swiss watches.

He wants to capitalise on these positions to turn the country into ‘a global watch hub, where connoisseurs and enthusiasts alike will continue to be fascinated by this industry.’

Despite the steep prices - fine watches can cost $2,000 to $80,000 - and the slowing world economy, growth in the watch industry is not unwinding.

Far from it, in fact. Swiss watch imports in the first six months of the year grew 45 per cent from a year earlier.

Mr Tay, 49, said Singapore’s luxury timepiece sector had seen steady growth over the past five years and would continue ticking along for the next five years.

The watch industry turned over $2.9 billion last year, up from $2 billion in 2003.

Mr Tay said this growth was ‘in sync with that of the Swiss watch industry’ and ‘will continue at 10 per cent to 15 per cent year-on-year’.

He added that even as watches were getting more expensive, people were still buying them.

He attributed this trend to rising wealth in Asia and the increasing number of connoisseurs in the region.

And he plans to focus on growing the latter even more during his two-year term as president of SCWTA, which has 180 members, through a large-scale watch fair here next year.

‘What is important is the industry, as a whole, is able to hold something on a national scale and make it into an iconic, international show,’ he said.

He also spoke about the sale of Sincere to Hong Kong watch company Peace Mark Holdings in April.

In his first interview with The Straits Times since the takeover, Mr Tay said yesterday he backed the ‘full acquisition’ of Sincere because both companies had a common goal to break into the China market.

With groups like Swatch, Richemont and LVMH accounting for 85 per cent of Swiss watch exports, Mr Tay said ’size, as well as financial and marketing clout’, was needed to penetrate China in ‘a meaningful and significant way’.

The takeover was completed at $530 million, or $2.564 per share.

Peace Mark has obtained acceptances of more than 90 per cent and is in the final stages of delisting Sincere from the Singapore Exchange.

Mr Tay has retained his role as group managing director of Sincere while taking up new responsibilities to ‘look at the luxury sector within the Peace Mark group’.

This segment comprised about 30 per cent of total group revenue at Peace Mark last year, but the acquisition of Sincere meant that portion would grow to about 60 per cent and become the main driver of the group’s business.

As for the conglomerate’s strategy, Mr Tay revealed: ‘The reason we’re making all these strategic moves is to create the largest watch company coming out from Asia.

‘As the largest watch company emerging from Asia, we can be more effective and efficient in the way we penetrate new markets.’

Singapore PRs can use automated clearance soon

THE over 440,000 permanent residents (PRs) here will be able to use the speedier electronic immigration clearance channels from as early as next month, saving them time in checkpoint queues.
Electronic channels, installed two years ago at the main checkpoints, have so far been reserved for Singapore citizens and long-term immigration pass holders with special access cards.

These two groups take 12 seconds to have their passports scanned and their thumbprints matched. Clearing immigration the manual way takes 50 seconds.

A month-long trial to allow PRs to use these channels started last Monday at the Singapore Cruise Centre checkpoint.

It will be extended to other checkpoints in phases. PRs will be given access to these e-channels after the kinks are ironed out.

The over 200,000 foreign professionals or students who will be issued a special green long-term pass from next year will also get to use these e-channels, an Immigration and Checkpoints Authority (ICA) spokesman said.

Ahead of the Formula One race and the integrated resorts, which will both bring an extra flood of visitors, ICA will build 47 more electronic clearance lanes in the next year at six checkpoints. The Singapore Cruise Centre and Woodlands Checkpoint will get the lion’s share.

Improvements to e-channels for motorcyclists are planned. Only single bikers use the e-channels now. Those with pillions have to queue for manual clearance.

About 143 million travellers pass through the borders yearly, of which over 50 million are Singapore citizens and PRs.

Malaysian citizen Lim Hon Hai, 36, holds a long-term immigration pass, so he could breeze through the e-channels now.

But the sheer number of people creates a long tail-back of vehicles to be cleared, and can add 45min to the electrician’s daily bike trips in and out of here.

He said: ‘If there are more lanes, or if more people can use the electronic lanes, it will be better for all of us who are queuing.’

Safety in Reits ? Don’t count on it: analysts - Singapore

Yields are attractive but they are subject to movements in cyclical property market

(SINGAPORE) High yields and strong results are making real estate investment trusts (Reits) stand out in a volatile market. But there is debate over their potential as defensive plays, with some market watchers cautioning that Reits are not necessarily safer bets because of their link to the cyclical property sector.

Most Reits turned in impressive results for the quarter ended June 30, 2008. The 18 which reported their performance before last Friday all achieved higher distributable income and distribution per unit (DPU) over the same period last year.

Distribution yields reported by the Reits, based on annualised DPUs and last Friday’s closing prices, ranged from 4.8 per cent to 11 per cent. Reits which offered yields above 10 per cent included MapleTree Logistics Trust, healthcare-related First Reit and Lippo- MapleTree Indonesia Retail Trust.

Overall, the Reits had an average distribution yield of around 7.8 per cent, offering a spread of over 4.6 percentage points above the 10-year Singapore government bond yield of 3.14 per cent on Friday. Compared with one-year fixed deposit rates which start from around 0.8 per cent, the Reits offered an even wider spread.

Analysts say Reits have largely performed in line with expectations. Their good performances have won them fans - with many trading at discounts to net asset values and thus offering relatively high yields, OCBC Investment Research said in a recent report that investors could ‘take a fresh look at S-Reits as defensive vehicles offering stable cash flows and high yields’.

However, others pointed out that Reits still may not match up to traditional defensive plays, including high-yielding blue chips like telcos and banks. While Reits do offer high distribution yields, the sector is influenced by movements in the property market, which tends to be more cyclical compared with, for instance, the telecommunications industry, or even banking, they say.

Distribution yields are also a function of Reits’ unit prices, so yields may look high simply because unit prices have dropped, explained one analyst. Considering both capital gains and distributions to investors, Reits have not done as well compared to around a year ago, he added. The FTSE ST Reit Index has fallen by more than 10 per cent since it was launched on Jan 10 this year.

Reit fans, on the other hand, argue that few sectors are completely resistant to economic slowdowns. Also, some Reits may be more resilient because they can lock in leases over several years, which helps stabilise earnings.

Where there is agreement among most of the market watchers BT spoke to is that Reits will continue to generate steady operating results. For those which have locked in leases or are able to gain from higher rental reversions on lease renewal, ‘there is a lot of predictability in terms of their earnings and distributions,’ said Daiwa Institute of Research analyst David Lum.

With credit conditions staying tough, however, much of the earnings growth will have to come organically. Reits may still acquire properties but they will have to be more selective, analysts say.

Analysts’ top Reit picks include Suntec Reit. ‘With 32.6 per cent of total office net lettable area up for renewal in FY09, we believe Suntec is well-positioned for rental reversion with current $14 psf signing rents versus passing rent of around $6.30 psf,’ said a Citi Investment Research report last week.

CapitaCommercial Trust was another popular choice. Goldman Sachs reiterated its ‘buy’ call on the Reit, favouring its strong organic growth and ‘leadership among office Reits’.
